Additional or more specific terms may apply to particular portals, offerings, services, or transactions. If you do not agree to these Terms, do not access or use the Site.
By accessing or using the Site, you represent that you are at least 18 years of age and have the legal capacity and authority to enter into these Terms, on your own behalf and on behalf of any entity for which you act. Do not submit confidential, proprietary, trade-secret, or competitively sensitive information through the Site unless Silverado has first agreed in writing to receive it on a confidential basis. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Silverado and its affiliates and their respective members, managers, officers, employees, and agents, from and against any third-party claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to (a) your unlawful misuse of the Site; (b) information or materials you submit through the Site; (c) your violation of these Terms; or (d) your infringement or violation of any right of a third party. Silverado may assume control of the defense of any matter subject to indemnification, and you will reasonably cooperate with that defense. You may not settle any such claim in a manner that admits liability by or imposes obligations on Silverado without Silverado’s prior written consent.
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles, and subject to applicable federal law, including the federal securities laws. You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
Silverado may suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason, including any violation of these Terms. The provisions of these Terms that by their nature should survive termination will survive, including Section 4 as it relates to submissions, Sections 5 through 15, and Section 17.
Entire Agreement; Other Agreements. These Terms constitute the entire agreement between you and Silverado regarding your use of the Site and supersede any prior or contemporaneous agreement regarding that subject. These Terms do not supersede any nondisclosure agreement, Offering Documents, subscription agreement, portal terms, or other separate written agreement between you and Silverado or an affiliate. If these Terms conflict with a more specific written agreement governing a particular offering, transaction, service, or relationship, the more specific written agreement controls.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver. Silverado’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
Assignment. You may not assign or transfer these Terms without Silverado’s prior written consent. Silverado may assign these Terms without restriction.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
